Buy-side process for leasing firm

Abanka d.d. and Banka Sparkasse d.d., Ljubljana have confirmed that all conditions precedent set out in the agreement on the sale of a 100% participating interest in the subsidiary Aleasing d.o.o.

The clients situation

Banka Sparkasse d.d.  wanted to strengthen its presence in Slovenia. Going through an acquisition was clearly the way to go, as pure organic growth would have taken too long and too much management time.

Banka Sparkasse d.d. wanted to minimize the financial constraints and the integration risks as well as keeping the process simple and reducing management distraction. KF Finance, who had been advising Banka Sparkasse d.d. in this transaction, was requested to help achieve these objectives.

How did KF Finance deliver value to the client?

  • We started off by preparing comprehensive Business case,  carrying out a detailed due diligence and calculate enterprise value of Aleasing.
  • KF Finance streamlined the process and kept it as simple as possible to meet the deadline of both parties, despite the complex structure of the business.
  • This was achieved by putting together a deal structure that was reasonably straightforward, transparent and geared towards business objectives.
  • The result was a transaction process that was smooth, and where all energies were directed more towards business objectives than deal technicalities.
